Welcome to BNY Jeans. These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile experiences, and online store (collectively, the “Site”), and your purchase of products from BNY Jeans (“BNY”, “we”, “us”, or “our”).

By browsing the Site, creating an account, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. About BNY Jeans

BNY Jeans is a Philippine clothing brand offering casual and streetwear apparel through our online store and selected retail locations. Online orders on this Site are sold by BNY Jeans and fulfilled for delivery within the Philippines unless we state otherwise.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or complete a purchase. If you are under 18, you may use the Site only with the involvement and consent of a parent or legal guardian.

By using the Site, you represent that the information you provide is accurate and that you have the legal capacity to enter into a binding contract.

You may browse much of the Site without an account. An account is required for certain features such as order history and saved details.
You are responsible for keeping your login credentials confidential and for all activity under your account.
Notify us immediately if you suspect unauthorized access to your account.
We may suspend or terminate accounts that violate these Terms, involve fraud, or misuse the Site.

4. Products, pricing & availability

We display products with descriptions, images, and prices in Philippine Peso (₱). We try to show colors and details accurately, but screen settings may cause slight variations.
Prices include applicable value-added tax (VAT) where required, unless stated otherwise at checkout.
Prices, promotions, and product availability may change without notice. The price charged is the price shown at checkout when you submit your order.
We reserve the right to limit quantities, refuse orders, or cancel orders affected by pricing or product errors. If we cancel a paid order due to an error, we will refund the amount paid.
Product weights, measurements, and materials on product pages are approximate and for guidance only.

5. Orders & contract formation

Placing an order is an offer to purchase. A binding contract is formed when we send an order confirmation email — subject to stock availability and payment verification.
We may decline or cancel an order before shipment for reasons including suspected fraud, stock unavailability, restrictions on delivery location, or errors in product or pricing information.
Please review your order carefully before payment. Order details, including shipping address and items, should be confirmed at checkout.
Order changes or cancellations after submission may not be possible once processing begins. Contact customer service as soon as possible if you need assistance.

6. Payment

We accept payment methods displayed at checkout. Availability may vary by order value, location, or promotion.
You authorize us and our payment partners to charge your selected payment method for the order total, including applicable shipping fees and taxes.
If payment cannot be verified or is declined, we may cancel or hold your order until the issue is resolved.
Promo codes and vouchers must be entered at checkout unless stated otherwise. They cannot be applied retroactively and may be subject to separate terms.

7. Shipping & delivery

We ship to addresses within the Philippines. Shipping fees, free-shipping thresholds, and estimated delivery times are described on our Shipping page and shown at checkout before you pay.

Delivery times are estimates only and are not guaranteed. Delays may occur due to courier capacity, weather, holidays, or remote locations.
Risk of loss passes to you when the order is delivered to the address you provided or collected by the courier according to their terms.
You are responsible for providing a complete and accurate delivery address and a reachable contact number.

8. Returns, exchanges & refunds

Our return and exchange rules are set out in our Returns & Exchanges policy, which forms part of these Terms. By purchasing from the Site, you agree to that policy.

In summary, eligible online purchases may be returned or exchanged within 14 days of delivery if items are unworn, unwashed, and have original tags attached, subject to the full policy and customer service approval.

9. Promotions & vouchers

Promotional offers, discount codes, and campaigns may have additional terms published on the promotion page or at checkout.
Unless stated otherwise, promotions cannot be combined, are not transferable, and have no cash value.
We may modify or end promotions at any time. If a promotion was clearly misstated due to error, we may cancel affected orders and provide a refund.

All content on the Site — including logos, trademarks, product images, text, graphics, videos, and software — is owned by BNY Jeans or our licensors and is protected by copyright, trademark, and other intellectual property laws.

14. Limitation of liability

To the maximum extent permitted by applicable law in the Philippines, BNY Jeans and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or purchase of products.

Our total liability for any claim relating to a specific order shall not exceed the amount you paid for that order, except where liability cannot be limited under mandatory consumer protection laws.

Nothing in these Terms limits your statutory rights as a consumer under Philippine law where those rights cannot be waived.

15. Indemnity

You agree to indemnify and hold harmless BNY Jeans from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or violation of any law or third-party rights.

16. Force majeure

We are not liable for failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, acts of government, labor disputes, utility failures, pandemics, or courier disruptions.

17. Governing law & disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

You agree to attempt to resolve disputes informally by contacting customer service first. If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts of Makati City, Philippines, unless mandatory consumer protection rules require otherwise.

18. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Material changes may also be communicated on the Site or by email where appropriate.

Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Site.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
